GOSEEDLY / THE IMPORTANT STUFF
Terms of Service.
The deal, in plain sight: downloadable code. You run it. No managed service or contracted support. All sales final, subject to mandatory law.
Updated September 5, 2026 · Hypercat Studio LLC
1. Seller, scope & agreement
GoSeedly is a digital source-code product of Hypercat Studio LLC, operating the DevLaunch brand (“we,” “us,” or “our”). “You” means the purchaser and, when purchasing for a business, that business. You must be at least 18 and have authority to bind the business and authorize the work you undertake.
These product-specific terms cover the downloadable GoSeedly code and instructional materials. The terms and applicable license must be presented for affirmative acceptance before a purchase or download; merely browsing this website does not constitute acceptance of a software purchase agreement.
For an accepted GoSeedly purchase, these product-specific terms and its supplied license govern permitted source-code use and take precedence over inconsistent general DevLaunch website terms. Your order's written description controls any expressly included deliverables. A later website change does not retroactively remove rights granted with a completed purchase. Mandatory applicable law controls in all cases.
2. A code product—not a service
The product consists only of the digital code and instructional materials expressly identified in the release you purchase. You download, configure, run, secure, and maintain it yourself. The price does not include our operating a migration, accessing your CRM, installing Seedly, hosting software, inspecting your records, or performing custom development.
A tutorial explains an example workflow. Its length is not a promise of your setup or migration duration. Demonstrations, planned features, sample interfaces, and roadmap items are not guarantees of functionality in a released version. Review the actual release's compatibility list and requirements before purchase.
3. Source-code license & restrictions
The proposed license, subject to payment and the final supplied license, is a non-exclusive, non-transferable license to download, run, copy for backup, and modify the GoSeedly code for your own business and migrations you are authorized to perform for clients. You may give access to your employees or contractors only as needed for that work, under confidentiality and use restrictions, and remain responsible for their compliance.
Buying source-code access does not transfer our copyright, brand, mascot, or ownership of the product. You retain your rights in your own data and original additions. Open-source dependencies retain their separate licenses, which control those components.
You may not redistribute, publish, sublicense, share a download link, sell copies, or offer the GoSeedly kit as a competing code template or white-label software product. This does not prevent permitted migration work for your clients. Do not strip required license notices, claim our work as your original work, or imply that your modified version is endorsed by us. Rights that applicable law does not allow us to restrict remain unaffected.
A Seedly license is separate. The GoSeedly purchase grants no right to redistribute Seedly source, use third-party trademarks as your own, or access a HighLevel account without authorization.
4. Your migration responsibilities
You are responsible for deciding whether the product is suitable, using only the supported versions, obtaining lawful access and client authorization, and complying with privacy, communications, record-retention, and third-party platform requirements. You control your data, credentials, configuration, mapping, cleanup decisions, and destination.
Before running on production records, make independent source and destination backups, test restoration where practical, test a small representative sample in an isolated environment, and review the proposed import. Verify actual destination records, attachments, relationships, timestamps, and opt-out status after import. Retain source access and backups until your verification and cutover are complete.
Do not cancel HighLevel, delete original records, or activate destination messaging or automations solely because an import reports completion. Migration reports assist your review; they are not a substitute for your own verification or professional advice. You remain responsible for correcting mapping decisions and arranging any manual rebuilding or reconnection work.
5. Data coverage & third-party dependency
No promise is made that every record, field, file, timestamp, relationship, conversation type, or configuration can be exported or imported, or that the result will reproduce your prior CRM exactly. Provider omissions, permission limits, deleted data, expiring links, malformed data, user choices, account changes, and unsupported schemas can limit or prevent a transfer. A local archive includes only data actually retrieved.
Unless a purchased release explicitly states otherwise, working workflows, funnels, websites, phone numbers, provider credentials, payment instruments, integrations, and running automation states are not migrated automatically. A historical record does not establish communication consent or recreate the original provider service.
HighLevel, Seedly, API providers, hosting companies, and other third parties independently control their software, permissions, prices, limits, uptime, and terms. They may change or discontinue functionality without notice to us. We do not control those decisions and do not promise permanent compatibility, access, or uninterrupted performance. You are responsible for third-party charges and licenses.
6. No support or maintenance commitment
No technical support, installation assistance, migration assistance, data recovery, custom coding, troubleshooting service, service-level agreement, response deadline, or guaranteed resolution is included with the product.
We may choose to offer general guidance through the DevLaunch Facebook group or email. This is discretionary community help, not a contracted support service. We may decline or stop a request, and availability does not create an ongoing obligation. We will not request your passwords, API secrets, or unredacted customer data. Community members are independent and their suggestions are not warranties or instructions issued by us.
Updates, patches, new versions, adaptations to third-party changes, and lifetime maintenance are not included or promised unless your order expressly grants a specified entitlement. Keep a secure copy of the version and documentation you purchased. We do not promise indefinite hosting of a download link or community access.
7. Price, delivery & all sales final
GoSeedly is a digital-code purchase, not a subscription or a service engagement. Prices are in USD unless checkout says otherwise; applicable taxes and disclosed third-party charges may be additional. The authorized checkout is Whop. Purchases are fulfilled manually to the checkout email. The order identifies the purchased product and included deliverables.
ALL SALES ARE FINAL. We do not offer voluntary refunds, returns, or exchanges for the digital product, including for a change of mind, lack of technical ability, failure to review requirements, third-party changes, incompatibility outside the supported configuration, unused downloads, or dissatisfaction with results. Evaluate the requirements, scope, and limitations before buying.
This policy does not exclude refunds, statutory remedies, withdrawal rights, or payment-dispute rights that cannot lawfully be excluded. It does not excuse non-delivery or misrepresentation. If you believe a mandatory right applies, contact us with the order reference and issue—without sending CRM data. We will handle the request under applicable law and the payment platform's binding requirements.
Where law requires separate consent to immediate digital delivery and an acknowledgment concerning withdrawal rights, checkout must obtain those before delivery. A no-refund label alone is not a waiver. Any qualifying exception, including an express written order term, controls over this general policy.
8. Credentials, privacy & restricted data
Protect your computer, backups, network, source code, credentials, and destination infrastructure. Use minimum necessary permissions and revoke temporary credentials after verified completion. Do not put tokens or customer data in public repositories, forum posts, Facebook comments, or email help requests. Use redacted diagnostics and synthetic examples.
The intended local application architecture does not require DevLaunch to receive your CRM payloads. Third-party systems you authorize still process those records under their own agreements. The sales website and communications with us are covered separately by the GoSeedly Privacy Policy.
The product is not represented as certified for regulated data, and a purchase supplies no business associate agreement, data-processing agreement, or professional compliance service. Do not use it for a regulated workload unless you have independently established all required agreements and safeguards. Do not use the product for unlawful access, spam, consent evasion, or infringement.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, the product and discretionary guidance are supplied AS IS and AS AVAILABLE, without implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free results, or recovery of lost data. We do not guarantee that the product will meet your particular requirements or that every defect will be corrected.
Nothing here disclaims an express written obligation in your accepted order or a warranty, guarantee, or remedy that applicable law makes non-excludable. Your jurisdiction may not permit some exclusions, so they apply only to the extent legally permitted. General examples and community guidance do not expand the purchased product's commitments.
10. Limitations of liability
To the maximum extent permitted by applicable law, Hypercat Studio LLC and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including lost profits, revenue, business opportunities, goodwill, downtime, or loss or corruption of data arising from use or inability to use the product, even if advised that such losses are possible.
To the maximum extent permitted by law, our aggregate liability arising from the specific GoSeedly product giving rise to a claim is limited to the amount you actually paid us for that product. The allocation reflects a self-run digital-code purchase and does not make us the operator or custodian of your migration.
These limits do not apply where prohibited by law, including liability that cannot be excluded or limited for fraud, willful misconduct, gross negligence, death or personal injury, or mandatory consumer/statutory rights. They do not require you to waive a non-waivable remedy. Any invalid limit is narrowed only as legally permitted.
11. Responsibility for third-party claims
For business purchasers and only to the extent permitted by law, you agree to indemnify us against third-party claims and reasonable associated costs to the extent caused by your unlawful use, lack of authority to process data, infringement in material you supply, or material breach of these terms. This does not cover claims caused by our own negligence, willful misconduct, or breach of an applicable duty.
We must provide reasonably prompt notice and reasonable cooperation. You may control the defense with qualified counsel, but may not agree to admissions, non-monetary obligations, or settlements affecting our rights without our written consent, not unreasonably withheld. This section does not alter mandatory consumer rights.
12. Breach, termination & surviving rights
If you materially violate the accepted license, we may give notice and a reasonable opportunity to cure where appropriate, or terminate immediately for unlawful access, unauthorized redistribution, or a serious security threat. Upon lawful termination, stop the prohibited use and cease using licensed copies as required by the license; you retain ownership of your CRM data and may retain records required by law.
Restrictions on unauthorized distribution, payment obligations already incurred, lawful disclaimers, and dispute provisions survive as appropriate. We do not claim a right to remotely delete your customer data or access your local installation. Remedies and termination remain subject to applicable law.
13. Governing law & disputes
Proposed governing law is Texas, United States, consistent with the existing DevLaunch terms, excluding conflict-of-law rules and subject to mandatory protections that apply where you live. The final product agreement must confirm governing law before sales open. Nothing here requires arbitration, waives a jury trial, or waives a class action right.
Please first contact aaron@hyperflow.cloud about an issue so we can attempt an informal resolution. This request does not bar you from exercising statutory rights or meeting a filing deadline. If any provision is unenforceable, remaining valid provisions continue to apply to the extent permitted by law.
14. Independent product & changes
GoSeedly is not affiliated with, endorsed by, sponsored by, or otherwise connected to Seedly CRM or HighLevel (GoHighLevel). Those names identify intended compatibility only. Their trademarks and software remain their respective owners' property.
We may revise these proposed terms before launch. Accepted orders remain governed by the terms and license accepted for that order, except lawful changes separately agreed or required by law. Material privacy changes follow the notice and consent requirements described in the Privacy Policy. No roadmap statement creates an obligation to deliver a future feature.
